Terms of Service
These Terms of Service govern the use of the PinDai commercial web portal and establish the framework for preliminary product inquiries, quotation handling, and commercial production agreements.
1. Acceptance of Terms & B2B Exclusivity
These Terms of Service (“Terms”) constitute a legally binding agreement between you or the entity you represent (“Client”, “Buyer”, or “User”) and Fuzhou Pindai Arts & Crafts Co., Ltd. (operating globally under the commercial trademark PinDai, “we”, “us”, or “our”).
PinDai is a manufacturer-backed commercial coordinator and export supplier dedicated strictly to business-to-business (B2B) commercial clients, including beauty brand owners, cosmetic product developers, importers, corporate procurement desks, and premium promotional distributors. We do not provide consumer retail, direct-to-consumer (DTC) sales, or individual retail parcel fulfillment through this website.
By accessing this website, browsing catalog prototypes, or submitting quotation requests, you confirm that you act on behalf of a commercial business entity and agree to be governed by these Terms.
2. Intellectual Property Rights
2.1 PinDai Proprietary Content
All website layouts, technical structural diagrams, bespoke photography, product copy, visual styling, branding assets, and downloadable dossier specifications are the exclusive property of PinDai or used under valid commercial license. No portion of this site may be duplicated, scraped, republished, or exploited for competing commercial purposes without our express written consent.
2.2 Client Trademarks & Custom Artwork
When submitting custom artwork, embossing vectors, logos, tech packs, or Pantone references for cosmetic bag manufacturing, the Client warrants that it owns or holds all necessary intellectual property rights and licenses. The Client agrees to defend, indemnify, and hold harmless PinDai and its production partners against any third-party claims, liabilities, or expenses resulting from trademark, design patent, or copyright infringement arising from client-supplied materials.
3. Inquiries & Quotation Validity
Transmission of inquiry forms, sample request tickets, or preliminary electronic communications through this website does not constitute a binding purchase order or accepted production contract.
Any budgetary quotes, preliminary tooling fee estimations, or indicative lead times provided via digital inquiries are non-binding estimates based on prevailing material costs, exchange rates, and factory slot availability.
- Standard Quotation Validity: Formal commercial quotations issued by our sales desk remain valid for 30 calendar days from issuance unless explicitly indicated otherwise in writing.
- Material & Currency Adjustments: Unconfirmed estimates may be adjusted prior to formal contract signing due to volatile raw material shifts (e.g., custom PU leather coatings, hardware electroplating metals, specialized zipper tape runs) or significant foreign exchange fluctuations.
4. B2B Order Confirmation & Written Terms
A commercial manufacturing commitment between PinDai and the Client becomes binding only upon the execution of a mutually signed written Proforma Invoice (PI) or formal Sales Contract, accompanied by the receipt of agreed advance deposit funds.
Governing Order Parameters
All critical parameters of every production run are strictly subject to final written confirmation in the Proforma Invoice and approved Golden Pre-Production Sample (PPS):
5. Product Images, Samples & Visual Boundaries
Photographs, 3D renderings, and catalog silhouettes displayed on this website illustrate our manufacturing capability, structural craftsmanship, and material coordination scope.
- Color Fidelity: Digital photography and display hardware calibration may introduce subtle variations in perceived color tone, grain texture, or sheen compared to physical dye lots and swatch cards.
- Gift Assemblage Curation: Gift sets incorporating accessory items (such as brushes, puffs, mirrors, and rigid gift boxes) represent coordinated design examples. Component availability, specific custom molds, and secondary packaging items are validated individually per project scope.
- Continuous Iteration: PinDai reserves the right to make minor technical adjustments to zipper gauges, reinforcement piping, or internal gusset seams to optimize structural durability during mass production, subject to client sample approval.
6. Sampling, Prototyping & Tooling Terms
Custom sample development entails dedicated pattern cutting, mold preparation, and artisan tailoring. Sampling fees, custom debossing die charges, and metal hardware mold fees are quoted separately and must be remitted prior to development commencement.
Sampling fees for standard customizations may be credited against subsequent qualifying bulk production orders in accordance with the specific terms outlined in your project quotation. Physical samples delivered to and signed off by the Client serve as the definitive baseline standard (“Golden Sample”) for subsequent factory quality audits.
7. Quality Control & Export Compliance
PinDai implements structured pre-shipment quality inspection protocols according to internationally recognized standard AQL (Acceptable Quality Limit) parameters unless higher bespoke thresholds are contracted in writing.
Regulatory & Testing Requirements: Destination market compliance certifications (including, but not limited to, EU REACH, California Proposition 65, RoHS, azo-dye bans, or heavy metal screening) must be declared by the Client during the initial RFQ stage and explicitly incorporated into the contract. Testing fees by accredited third-party laboratories (e.g., SGS, Intertek, TUV) will be itemized based on client testing mandates.
8. External Links & Third-Party Services
This website may contain links to third-party portals, logistics tracking systems, international trade resources, or payment gateways. Such links are provided solely for operational convenience. PinDai exercises no control over the privacy policies, accuracy, or operational integrity of external sites and disclaims liability for any loss or dispute arising from your engagement with third-party providers.
9. Limitation of Liability & Disclaimers
To the maximum extent permitted under applicable commercial law:
- Website Availability: This website is provided on an “as is” and “as available” basis without warranties of uninterrupted uptime or error-free server operation.
- Indirect Damages: PinDai shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of commercial profit, loss of brand goodwill, or marketing schedule disruption.
- Liability Cap: In any circumstance concerning physical goods and manufactured deliverables, PinDai’s cumulative liability shall not exceed the net total invoice amount actually paid by the Client to PinDai under the specific purchase order in dispute.
- Force Majeure: PinDai is relieved from performance delays or supply impediments caused by events beyond reasonable commercial control, including natural disasters, port congestion, customs clearance delays, export restrictions, labor strikes, power rationing, or material raw ingredient shortages.
10. Governing Law & Dispute Resolution
These Terms, website interactions, and general commercial relations shall be governed by and construed under the laws of the People’s Republic of China, without giving effect to conflicts of law principles.
Any dispute, controversy, or claim arising from or relating to the interpretation of these Terms or manufacturing agreements shall first be submitted to friendly commercial negotiation. In the event negotiation fails within 30 days, the dispute shall be submitted to the competent commercial court located in Fuzhou, Fujian Province, China [or designated international arbitration commission: To be provided upon final bilateral agreement].
11. Modifications to Terms
PinDai reserves the right to revise or update these Terms of Service at any time to reflect evolving regulatory frameworks, manufacturing guidelines, or commercial capabilities. Updated revisions become effective immediately upon posting to this URL, with the “Last Updated” timestamp adjusted accordingly. Continued use of the website following revisions constitutes acceptance of the amended Terms.
